Terms of Service – Solfaus

These Terms of Service ("Terms") form a binding agreement between you and Solfaus ("Solfaus", "we", "our") and apply whenever you visit solfaus.com, place an order, contact our support team or otherwise interact with our store (together, the "Store"). Our Privacy Policy and our Return & Refund Policy are part of these Terms.

If you do not accept every provision below, do not use the Store or place an order.

1. Contract Formation and Order Processing

Your order is an offer to buy. A contract exists only when we send you a shipping confirmation; an automated order acknowledgment is not an acceptance. We may decline any offer, in whole or in part, for any reason and at any stage before shipment.

Orders are transmitted to automated fulfillment systems immediately after checkout. As a result:

• an order cannot be amended, split, combined, paused or withdrawn once submitted;
• the delivery address, recipient name, product selection and quantity are locked at checkout;
• discount codes, gift options or shipping upgrades cannot be added retroactively.

Clicking the final checkout button constitutes your express instruction to charge the selected payment method and to ship the order.

We may change these Terms whenever we see fit. Changes take effect on publication, and the version online when you place an order governs that order. Our Store runs on third-party commerce infrastructure (including Shopify and its partners), and your use of the Store is also subject to the technical requirements of those providers.

2. Who May Order

By placing an order you confirm that you have reached the age of majority where you live, that you can lawfully enter into a contract, that you are buying for personal household use and not for resale, and that every detail you enter at checkout is truthful and current.

You may not access the Store, or allow anyone else to do so on your behalf, for any purpose that is illegal, deceptive, abusive or outside its intended use. Introducing harmful code, probing our systems, or disrupting the Store in any way is prohibited and will result in immediate termination of access, in addition to any other remedy available to us.

3. Our Discretion to Refuse or Limit Sales

Solfaus may, without explanation and without advance notice:

• reject or cancel any order before shipment;
• cap the number of units any customer, household, address or payment method may purchase;
• block orders from any region, jurisdiction or address type (including freight forwarders and mail drops);
• refuse service to anyone whose conduct, order history, dispute record or risk profile we consider unacceptable;
• halt transactions we suspect to involve fraud, commercial resale or policy circumvention.

Any payment already captured for a cancelled order will be returned to the original payment method; no further compensation is owed.

4. Products, Descriptions and Availability

Product photographs, descriptions, dimensions, scent profiles, coverage figures and prices are provided for general information and may be changed, withdrawn or corrected at any time without notice.

We make a reasonable effort to describe our products accurately but do not guarantee that any listing is free of errors, that colors or packaging shown match what you receive, or that stock figures displayed are current. Nothing on the Store is a promise about a product's performance in your specific environment.

Our products are intended to be used strictly in accordance with the directions on the packaging. Solfaus does not guarantee that any product will deter, repel, eliminate or prevent any pest in any particular setting, and our products are not a substitute for professional pest-management services or for sealing entry points. Results vary with infestation level, placement, airflow, temperature and other conditions outside our control. Keep products away from children and pets and do not use them in any manner not described on the label.

Availability is confirmed only when the shipping confirmation is sent. We may discontinue any product, limit its sale by customer or territory, or adjust pricing at any time.

5. Pricing, Payment and Cancellation by Solfaus

Prices are displayed in the checkout currency and may be changed without notice. Applicable taxes, duties and shipping charges are added at checkout and are payable by you.

We may cancel an order even after payment has been authorized where we identify a pricing or description error, an inventory shortfall, a payment or verification problem, indications of fraud or abuse, or a suspected commercial purchase. In that case we will void the authorization or return the captured amount to the original payment method, and we will have no further obligation to you.

If your payment provider later reverses, disputes or fails to settle a payment for an order that has already shipped, you remain liable for the full order amount, together with any fees we incur.

6. Your Information at Checkout

You are solely responsible for the accuracy of the name, address, email, phone number and payment details you provide. Costs, delays or losses resulting from incorrect or incomplete information — including parcels returned, misdelivered or forfeited — are borne by you, as set out in our Return & Refund Policy.

We may hold any order for identity, address or payment verification before shipping it and may cancel the order if verification is not completed to our satisfaction.

7. Shipping, Delivery and Risk of Loss

Any dispatch or delivery timeframe shown on the Store, in checkout or in emails is a non-binding estimate. Solfaus is not responsible for delays caused by carriers, customs authorities, weather, strikes, pandemics, supplier failures, system outages or any other event outside our reasonable control, and such delays do not give rise to a right to cancel or to compensation.

Title and risk of loss pass to you when the parcel is handed to the carrier. From that point, loss, theft, damage in transit or delivery to an unsecured location is a matter between you and the carrier, except where our Return & Refund Policy or mandatory law provides otherwise. You are responsible for tracking your shipment and for ensuring the delivery location is safe.

Parcels marked as delivered by the carrier are deemed received. Solfaus does not reship or credit orders with a delivery scan unless a carrier investigation confirms loss attributable to the carrier.

8. Returns, Credits and Claims

All matters relating to returns, cancellations, damaged or missing items, credits and refunds are governed exclusively by our Return & Refund Policy. By ordering you confirm that you have read that policy and accept its conditions, including the same-day reporting deadline and the store-credit-only remedy.

9. Third-Party Tools and Links

The Store may include tools, apps, payment options, reviews widgets, or links provided by others. We supply these without any warranty, we do not endorse them, and we accept no responsibility for their content, availability, accuracy, security or data practices. Any dealings you have with third parties through the Store are at your own risk and subject to their terms.

10. Reviews, Feedback and Submissions

If you send us reviews, ratings, photos, videos, testimonials, ideas or any other material, you grant Solfaus a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable and transferable licence to use, edit, reproduce, publish, translate and display that material in any media for any purpose, including advertising, without attribution or payment. You waive any moral rights to the extent permitted by law.

You warrant that any material you submit is your own, is truthful, does not infringe anyone's rights and does not contain unlawful, offensive or confidential content. We may edit, decline or remove any submission at our discretion and are under no obligation to keep submissions confidential.

11. Intellectual Property

Everything on the Store — the Solfaus name and logo, product names, scent formulations, packaging designs, text, images, video, code, layout and compilations — belongs to Solfaus or its licensors and is protected by trademark, copyright and other laws. You may not copy, scrape, reproduce, modify, distribute, frame, mirror or commercially exploit any part of the Store without our prior written permission. Purchasing a product grants you no rights in our intellectual property.

12. Errors and Corrections

Despite our efforts, the Store may contain typographical errors, outdated information or omissions concerning prices, descriptions, promotions, shipping options or availability. We may correct such errors, update information or cancel affected orders at any time, including after an order has been placed and paid, without liability. We are under no duty to update any content except where the law requires it.

13. Prohibited Activities

You must not, and must not help anyone else to:

• break any applicable law or regulation while using the Store;
• infringe our intellectual property or that of any third party;
• make false statements, impersonate others, or use stolen or unauthorized payment instruments;
• place orders for resale, for export without authorization, or in quantities inconsistent with household use;
• bypass purchase limits through multiple accounts, addresses or payment methods;
• post false reviews or claims;
• interfere with the security, integrity or performance of the Store;
• deploy bots, scrapers, crawlers or other automated tools on the Store;
• collect data about other users;
• send unsolicited communications or engage in phishing or spam through the Store.

Breach of this section entitles us to terminate your access immediately, cancel open orders, withhold credits, report the conduct to authorities and pursue legal remedies.

14. No Warranties

To the fullest extent the law allows, the Store and all products are supplied "as is" and "as available", with all faults, and Solfaus disclaims every warranty, condition and representation not expressly stated in these Terms — including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and those arising from course of dealing or usage of trade.

In particular we do not warrant that the Store will be available, secure or error-free, that defects will be corrected, that information on the Store is accurate or complete, or that any product will achieve any particular pest-control result.

Any statutory warranty that cannot be excluded is limited, to the maximum extent permitted, to the replacement of the product or the issue of store credit for its purchase price, at our election.

15. Limitation of Liability

To the maximum extent permitted by law, neither Solfaus nor its owners, officers, employees, contractors, suppliers or affiliates will be liable to you for any indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profits, lost savings, loss of goodwill, loss of data, property damage, business interruption or the cost of substitute goods or services, however caused and under any theory of liability, even if we were told such loss was possible.

Where liability cannot be excluded, the total combined liability of Solfaus and its affiliates for all claims connected with an order, the Store or these Terms is capped at the product price actually paid by you for the order in question, excluding shipping and taxes.

Some jurisdictions restrict the exclusion of certain warranties or damages; in those jurisdictions the above applies only as far as the law permits.

16. Payment Disputes

Before contacting your bank, card issuer or payment provider about any charge, you agree to write to support@solfaus.com and allow us at least 10 business days to resolve the matter. Opening a dispute without doing so is a breach of these Terms.

Solfaus will contest any dispute it considers unjustified by submitting order, tracking, delivery, communication, device and fraud-screening records. Where a dispute is resolved in our favor, or where goods were delivered as ordered, you remain liable for the amount in question. Abusive or repeated disputes result in permanent closure of the account and refusal of future orders.

17. Indemnity

You will defend, indemnify and hold harmless Solfaus and its owners, officers, employees, contractors, suppliers and affiliates from and against all claims, demands, losses, damages, penalties, costs and expenses (including reasonable legal fees) arising out of or connected with: your breach of these Terms or any policy incorporated in them; your use or misuse of the Store or any product; any content you submit; or your violation of any law or of the rights of any third party.

18. Suspension and Termination

We may suspend, restrict or permanently terminate your access to the Store and cancel any pending order, with or without notice, if we believe you have breached these Terms, if your conduct exposes Solfaus or other customers to risk, or for any other reason at our discretion. Provisions that by their nature are intended to continue — including Sections 10, 11, 14 through 17 and 19 through 21 — survive termination.

19. Governing Law and Dispute Resolution

Except where the mandatory consumer law of your place of residence provides otherwise, these Terms and any dispute arising from them or from a purchase are governed by the laws of the Republic of Austria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

Before starting any formal proceeding you must send a written description of the dispute to support@solfaus.com and negotiate in good faith for at least 30 days.

For customers in the United States, and to the extent permitted by law, any dispute not resolved through negotiation shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted remotely or in the county of your residence. You and Solfaus each waive the right to a jury trial and the right to participate in any class, collective or representative action. Claims within the jurisdiction of a small-claims court may be brought there instead. You may opt out of this arbitration provision by emailing support@solfaus.com within 30 days of your first purchase with the subject line "Arbitration Opt-Out".

For all other customers, and for any matter not subject to arbitration, the competent courts determined by applicable law have exclusive jurisdiction, subject to any non-waivable consumer protection rules.

20. General Provisions

Entire agreement. These Terms, together with the Privacy Policy and the Return & Refund Policy, are the complete agreement between you and Solfaus regarding the Store and replace all prior statements, communications or understandings.

Severability. If any part of these Terms is held invalid or unenforceable, that part is to be enforced to the maximum extent permissible and the remainder continues in full effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms. We may assign them freely, including to a successor of our business.

Force majeure. We are not in breach of these Terms for any failure or delay caused by events beyond our reasonable control.

Language. These Terms are drafted in English; any translation is for convenience only and the English version prevails.
